These General Terms and Conditions (“GTC”) apply to all contractual relationships between JUST SEND (simple partnership), represented by Pascal Stalder and Daniel Walser (hereinafter referred to as the “Band”) and event organisers, customers, agencies, and other contractual partners.Website: https://justsendmusic.com/ 1. Scope of ApplicationThese GTC apply in particular to:• Live performances and concerts• Festival and club shows• Private events• Corporate events• Booking and performance agreements• Technical requirements related to performances• Merchandise sales at eventsAny deviating terms and conditions of the event organiser shall only apply if expressly accepted by the Band in writing. 2. Conclusion of ContractA contract is concluded through:• written confirmation by e-mail,• signing of an engagement contract / performance agreement,• booking confirmation,• or mutual explicit agreement.By concluding the contract, the event organiser accepts these GTC. 3. Services Provided by the BandThe Band undertakes to perform the agreed live performance in accordance with the individual agreement.Details such as:• performance duration,• number of sets,• venue,• technical requirements,• setup times,• soundcheck,• hospitality,• accommodation,• transportation,• performance fee,shall be agreed individually and take precedence over these GTC.The Band reserves artistic freedom regarding performance, setlist, and interpretation. 4. Obligations of the Event OrganiserThe event organiser is responsible in particular for:• obtaining all required permits and approvals,• complying with safety and noise regulations,• providing the technical infrastructure according to the agreed Technical Rider,• providing electricity supply and a safe stage,• ensuring access for the Band, crew, and equipment,• paying agreed fees on time.The event organiser is liable for damages resulting from inadequate infrastructure or insufficient safety measures. 5. Technical RequirementsThe event organiser shall provide the technical requirements specified in the Technical Rider at its own expense, unless otherwise agreed.If the performance cannot take place or can only take place to a limited extent due to insufficient technical conditions, the Band’s entitlement to the agreed remuneration shall generally remain unaffected. 6. Fees and Payment TermsThe agreed performance fee shall be payable in Swiss francs (CHF), unless otherwise agreed.Unless agreed otherwise:• the performance fee is due within 30 days after the event date.Additional costs such as:• travel expenses,• accommodation,• catering,• backline,• additional technical costs,shall be charged separately in accordance with the individual agreement.In case of late payment, the Band may claim default interest and reminder fees. 7. Cancellation and WithdrawalCancellation by the Event Organiser:In case of cancellation by the event organiser, the following cancellation fees apply:• more than 60 days before the event: 0% of the agreed fee,• 31–60 days before the event: 50% of the agreed fee,• 0–30 days before the event: 100% of the agreed fee.Any additional costs already incurred shall be reimbursed separately.Cancellation by the Band:If the Band is unable to perform due to illness, accident, or other unforeseeable circumstances, the Band will endeavour to provide an appropriate replacement or find an alternative solution.Further claims for damages are excluded to the extent permitted by law. 8. Force MajeureNeither party shall be liable for failure to perform due to force majeure.Force majeure includes, in particular:• natural disasters,• war,• terrorism,• epidemics/pandemics,• official restrictions or bans,• power outages,• extreme weather conditions,• strikes,• infrastructure failures.Costs already incurred shall be shared between the event organiser and the Band. 9. LiabilityThe liability of the Band shall, to the extent permitted by law, be limited to cases of gross negligence and wilful misconduct.The Band shall not be liable for indirect damages, consequential damages, or loss of profit. 10. Photo, Video, and Audio RecordingsThe Band is entitled to create or have created photo, video, and audio recordings during events and use them for:• social media,• website,• promotion,• press work,• marketing,• documentation.The event organiser agrees to this unless expressly agreed otherwise in writing.Professional recordings or commercial recordings by the event organiser require the prior written consent of the Band. 11. MerchandiseThe Band is entitled to sell merchandise products such as clothing, recordings, or other items at events, unless otherwise agreed in writing.Any commissions or revenue sharing arrangements with the event organiser require a separate agreement. 12. Data ProtectionPersonal data is processed exclusively for the purpose of contract execution and communication.Further information is provided in the Band’s Privacy Policy available on the website. 13. Intellectual PropertyAll rights to music, logos, designs, images, and other content remain with the Band or the respective rights holders.Any use by third parties requires the prior written consent of the Band. 14. Final ProvisionsShould individual provisions of these GTC become invalid or unenforceable, the validity of the remaining provisions shall remain unaffected.Any amendments or additions to these GTC must be made in writing.Swiss law shall apply exclusively.The place of jurisdiction shall be, to the extent permitted by law, the registered office of the Band.
